1. Introduction

Welcome to Goch Capital LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our financial engineering platform and services. By accessing or using our platform, you agree to be bound by these Terms.
 

2. Use of Our Platform

  • Eligibility: You must be at least 18 years old and capable of forming a binding contract to use our platform.

  • Account Registration: You must create an account to use certain features of our platform. You are responsible for maintaining the confidentiality of your account information.

  • Prohibited Activities: You agree not to engage in any activity that interferes with or disrupts our platform or services.
     

3. Services

  • Securitization Services: We provide a platform for structuring and issuing third-party/in-house alternative investments in a single security.

  • Real-Time Pricing: We offer real-time pricing of our products with a disclaimer that pricing is an estimation and the real price will be determined by Goch Capital LLC following the private placement memorandum and term sheet documents signed between Goch Capital and its investors.
     

4. Intellectual Property

All content on our platform, including text, graphics, logos, and software, is the property of Goch Capital LLC or its licensors and is protected by intellectual property laws. You may not use any content without our prior written consent.
 

5. Limitation of Liability

To the maximum extent permitted by law, Goch Capital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use our platform.

  • Any unauthorized access to or use of our servers and/or any personal information stored therein.

  • Any interruption or cessation of transmission to or from our platform.

  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our platform by any third party.

  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through our platform.
     

6. Indemnification

You agree to indemnify and hold Goch Capital LLC and its affiliates, officers, agents, employees, and partners harmless from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of our platform, violation of these Terms, or any breach of the representations, warranties, and covenants made by you.
 

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved by the competent courts located in Israel.
 

8. Changes to These Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. You are advised to review these Terms periodically for any changes.
